Terms & Conditions
On acceptance of any project by Green Label the client must adhere to the following terms and conditions.
Ownership, Copyright and Intellectual Property
- All original content provided from the client to the developer will remain the property of the client;
- All content provided to the developer must be owned by the client, and they will be held responsible for any copyright infringements should this not be adhered to;
- All work in progress will remain the property of the developer until completion of the project at which time all intellectual property rights will be signed over to the client, this is exclusive of source files (.eps, ai, .psd) unless expressly negotiated;
- However, all work completed by the developer is not to be used for monetary exploitation such as mass duplication and distribution without prior consent of the developer.
- Any open source software used will keep their existing licencing.
Moral Rights
- Sites created by the developer will allow the developer to display the website within their portfolio of works clearly stating other parties involved in the project unless expressly negotiated.
- The developer reserves the right to remove the credit if the site has been modified to discredit them.
Time Frames
- Whilst all due care is taken to ensure the project meets specific deadlines, all time frames are estimated and do not account for:
- Delays caused by extensive system failure;
- Delays caused by acts of god such as fires, floods or other circumstances beyond the developers control;
- Delays caused by third part stakeholders (internet providers, hosting companies);
- Delays caused by the client not providing content in a timely manner;
- It is the responsibility of the client to ensure all content, and feedback is provided within the given timeframes. Should the client not meet this expectation delays are to be expected.

Client Requirements
Before the project can be booked into our schedule you will need to:-
- Sign the acceptance sheet and return (scanned/email copy is sufficient)
- Pay 20% of total lump sum booking fee (non refundable)
To ensure the project is completed in a timely manner, you are responsible for providing:-
- Images
- Content (Text)
- Feedback within a timely manner
Design Dependencies (if your own providing design)
- Design raw layered files created in either Adobe Illustrator(.ai or .eps) or Adobe Photoshop (.psd) using appropriately named layers. Flattened or rasterised images cannot be used.
- Please ensure that all designs are complete including button rollover states, all large background images are tileable, content fonts are websafe & supply any non-standard fonts used for headings or navigation.
- Every unique page needs to be mocked up eg. Home Page, Sub Page, Blogs, Product Pages, Checkout Pages, Contact Forms.
- We may reject (or suggest ways to improve) any design that cannot be made within the limitations of the chosen media before development commences.
Server Requirements
If you already have hosting, or decide to go with a host other than our recommendation please ensure it meets the minimum standards as outlined below (if unsure ask your hosting provider – they’ll know what this all means):

Pricing does not include monthly subscription fees.
Additional micro hosting is required to host fonts, images, scripts, emails and your domain.
SSL Certificates
All websites that have Security Certificates (SSL) require a static IP.
If you have problems finding out these details, please provide your hosting provider details and we can obtain the information for you.
Compatibility & Usability Requirements
All desktop based websites will be developed to the W3C Web Standards and will be developed to display on the following browser requirements based on statistics provided by W3C:-
- Screen Resolution 1024 x 768 or higher
- Internet Explorer 7 & 8
- Firefox version 3.5+
- Chrome 2.0 +
- Safari 3.0.4 +
Note. While all due care is given, all systems are different and your website may display differently on different machines. We also no longer support internet explorer 6 and below – if you require this level of support please let us know and we will adjust the quote accordingly.
All mobile based websites will be developed W3C Web Standards and will be developed to display on the following browser requirements (mobile based websites only):
- iPhone 3G, iPhone 3Gs, iPhone 4
- HTC Desire
- Samsung Galaxy
- Blackberry
Payment Terms
- For all projects under $5000 We break our payments into 4 installments.
- 20% of total payment is required before development can commence as a booking fee.
- 30% of total payment is required after the design/requirements phase of the project is complete. Payment of the this phase is acceptance of the requirements and design.
- 40% is required once development has been completed and prior to the website going live (you will see a testing version, no longer than 4 weeks after being placed on the testing server). Payment of Development phase is acceptance that the project meets the requirements outlined.
- Final payment (remaining 10%) is expected 2 weeks after the website is live
- For all projects over $5000 We break our payments into multiple instalments
- 20% of total payment is required before development can commence as a booking fee.
- Milestone payments required at TBA intervals of the project timeline.
- Final payment (remaining 10%) is expected 2 weeks after the website is live
- If final payment is not received within 30 days of the site going live, the site will be deactivated.
- If services of a debt collection agency are required, all costs will be paid by the client.
- Booking fee is non refundable.
Pricing Exclusions and other conditions
- Quotes are valid for 14 days from quote date.
- All prices exclude domain registration and hosting requirements unless specifically quoted for.
- All prices outlined are reliant that the client meets the web hosting server requirements as outlined in the dependencies section of this document.
- All prices include general overheads including stationery, disks, postage, couriers.
- Any loss of business due to system failure will not be the responsibility of the developer;
- Any damage to the site caused from external malicious hacking of the website is not the responsibility of the developer;
- Any changes to third party applications that affect functionality of systems built will not be the responsibility of the developer
- Sites Developed will only meet the compatibility and usability requirements outlined in the dependencies section unless specified in the brief.
- Animation, Illustrations, Flash, non standard Javascript and Ajax functionality is not included unless specified in the brief.
- Any changes to design layout after initial setup will incur additional fees.
- Content changes after initial setup will incur additional fees, please ensure all content is correct before providing.
- We do not write your content unless you request us to do so. Please let us know and we can organise this for you.
